PNH Advisory
Getting beyond compliance
so you can focus on what
matters most.
Practical governance and risk management for Australian organisations — scale up, private, not-for-profit and ASX listed. Senior expertise. No unnecessary complexity.
Company Secretary Services
Not all organisations need a full-time Company Secretary — but getting it wrong is costly. PNH Advisory can act as your Company Secretary on a temporary or ongoing basis, tailoring the service to your organisation's size, structure and budget.
Typical activities include:
Agenda management, minutes and action tracking
Board and committee meeting preparation and attendance
ASIC and ASX regulatory compliance (forms, announcements, registers)
Advice on the Corporations Act, ASX Listing Rules and your constitution
Share registry and auditor liaison
Assistance with AGMs and shareholder meetings
We have deep experience with many organisation types and sizes. What suits an ASX listed company does not suit a scale-up or a not-for-profit. We will help find the right balance for you.
Special Governance Advice and Support
Are we doing this right? What is everyone else doing? These are the most common questions we receive. Drawing on 15 years of experience in advising scale-ups, private companies, not-for-profits and listed companies, PNH Advisory has seen it all. You will receive very practical governance advice that is tailored to your specific situation.
Here are some things with which we commonly assist:
Governance maturity assessments (including independent Board reviews) and uplift recommendations
Charter, policy and procedure review and drafting
Director and management training on governance obligations
Advice on directors' duties, shareholder rights and meeting procedure
Transactional support (e.g. capital raisings, IPOs)
Assistance with all aspects of shareholder meetings (AGM / EGMs), including drafting and reviewing Notices of Meeting
Wherever you are on your governance journey, we are ready to assist.
Risk Management Services
Most risk management programs look rigorous on paper and deliver little in practice. Standard processes are rolled out, documentation is produced, and not much practically changes. It's an expensive façade.
PNH Advisory takes a fundamentally different approach — focused on simplicity and genuine integration with how your organisation actually works. What this looks like in practice:
Plain-language tools anyone in the organisation can use
Enhanced flow of information and better decision making
No costly software
No expensive extra headcount
A clear view of risk across your organisation for your leaders and the Board
You don't need a dedicated risk team to get started. We identify the right people within your organisation and build their capability as we go — so the system lives on after we're done.
